TERMS AND CONDITIONS

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Kataho Digital Address System, including the Kataho mobile application ("App"), the Kataho website at kataho.app ("Website"), Kataho Plates, Kataho Tags, Community Siren Alerts, the Emergency Response Console, the Citizen's Eye platform, and all associated services (collectively, the "Platform"). The Platform is operated by Addressgraph Nepal Pvt. Ltd. ("Kataho," "we," "us," or "our"), a company incorporated under the laws of Nepal, with its registered office at Neel Saraswati Marg-699, Lazimpat, Kathmandu-2, Nepal (Kataho Address Code: 09 Laksha Niwas 0222).

By registering for an account, installing the App, or otherwise accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy (available at kataho.app/privacy_policy), which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Account" means a registered user profile created on the Platform.
  • "Digital Address" means a unique, standardised location identifier generated by the Platform for a specific physical location, represented as a Kataho Code.
  • "Kataho Code" means the alphanumeric identifier assigned to a specific location through the Platform.
  • "KID" (Kataho Identification) means the anonymised, algorithmically generated identifier linked to a user account and address, containing no directly identifiable personal information.
  • "Kataho Plate" means a physical or digital home Address plate generated and issued through the Platform bearing the Kataho Code.
  • "Kataho Tag" means an NFC-enabled or QR-based tag associated with a Kataho-registered location or property.
  • "Community Siren Alert (CSA)" means the community-facing emergency notification feature within the Platform.
  • "Emergency Response Console (ERC)" means the government and responder-facing dashboard for managing emergencies.
  • "Citizen's Eye" means the civic reporting feature enabling users to report local issues.
  • "KYC" means Know Your Customer, a regulatory identity verification process.
  • "User Content" means any data, information, photographs, comments, location information, or other material submitted by users to the Platform.
  • "Services" means all features, tools, and functionalities made available through the Platform.
  • "Boolean Data" means a simple true/false verification response (such as whether a KID matches a record), shared with authorised institutions, containing no raw personal data.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least Thirteen (13) years of age to register for and use the Platform. By accessing or using the Platform, you represent and warrant that you meet this age requirement. The Platform is not intended for children under the age of thirteen (13), and we do not knowingly collect personal data from such individuals. If we become aware that a user is under thirteen (13), the account and associated data will be promptly deleted.

3.2 Account Registration

To access certain features of the Platform, you must create an Account by providing:

  • Your full legal name
  • A valid mobile phone number (verified by OTP)
  • A valid email address (verified by confirmation link)

You agree to provide accurate, current, and complete registration information and to promptly update such information if it changes. You are solely responsible for maintaining the confidentiality of your Account credentials. You must not share your login details with any third party. You are responsible for all activity that occurs under your Account.

3.3 Account Security

You agree to notify us immediately at support@kataho.app if you suspect any unauthorised access to your Account. We will not be liable for any loss or damage arising from your failure to safeguard your credentials.

3.4 Account Suspension and Termination

We reserve the right to suspend, disable, or permanently terminate your Account at our sole discretion, with or without prior notice, if you breach these Terms, engage in fraudulent or unlawful activity, or if required by law or regulation. You may delete your Account at any time through the App settings or by contacting support@kataho.app. Upon deletion, your personal data will be erased within thirty (30) days, unless retention is required by applicable law.

4. Description of Services

The Platform provides a suite of digital addressing and civic safety services, including but not limited to:

4.1 Digital Address Generation

The Platform enables you to create a unique Digital Address and Kataho Code for your home, business, or property. Your Kataho Code may be used for navigation, deliveries, utility services, and institutional verification.

4.2 Kataho Plate and Tag

Upon registration of a digital address, you may request a physical Kataho Plate bearing your Kataho Code. When a Doorbell QR Code or Kataho Tag is scanned, only a masked version of the account holder's name (e.g., "P******") is displayed — no personal data is transmitted or stored during scanning.

4.3 KYC Verification for Institutions

With your explicit consent on a case-by-case basis, the Platform may share Boolean Data — specifically your KID or Kataho Code alongside your registered phone number — with licensed banks, telecom operators, cooperatives, and other authorised institutions for KYC address verification purposes. No raw personal data (such as your full name, exact address, or identity documents) is shared. You will always be notified of which institution is requesting verification and must actively approve each request.

4.4 Emergency Sharing

You may voluntarily activate the Emergency Sharing feature, which allows your location and phone number to be shared with designated government authorities (such as Nepal Police) and up to two pre-designated emergency contacts (relatives or trusted persons) during an emergency. This feature is activated only with your explicit consent per instance. Emergency-shared data is not stored after the session concludes.

4.5 Community Siren Alert (CSA)

The Community Siren Alert feature enables registered households, wards, and local communities to send and receive emergency safety alerts within a defined geographic radius. You are responsible for ensuring that any alerts you send are genuine and not false, misleading, or intended to cause panic or harm.

4.6 Emergency Response Console (ERC)

The ERC is available to authorised government agencies, emergency responders, and partner institutions. Access to the ERC is subject to separate institutional agreements with Addressgraph Nepal Pvt. Ltd.

4.7 Citizen's Eye

The Citizen's Eye feature enables users to report civic issues such as infrastructure problems, public safety concerns, or hazards to relevant local authorities. Reports submitted through this feature are subject to the same User Content provisions in Section 5 below.

4.8 Chat Feature

The Platform includes a time-limited in-app chat facility for real-time communication and support. All chat sessions automatically terminate after two (2) minutes of inactivity.

4.9 Photo Tagging

You may tag photographs to a specific Kataho address and share them with chosen recipients. Photo tagging requires your explicit consent per photograph. Tagged photo data is not retained by us after you revoke consent or share the photo.

4.10 Map Services

The Platform integrates with OpenStreetMap, Galli Maps, and Google Maps to display digital addresses and saved locations. Kataho transmits only the technical coordinate data necessary to render map views. No personally identifiable information is shared with these map service providers beyond what is technically required for display purposes.

4.11 Developer APIs and Government Integration

Kataho offers Application Programming Interfaces (APIs) to authorised developers and governmental entities under separate Developer or Integration Agreements. Access to and use of APIs is subject to those additional agreements and applicable law.

5. User Content

5.1 Ownership of User Content

You retain ownership of User Content that you submit to the Platform, including addresses, location data, photographs, civic reports, and other information. By submitting User Content, you represent and warrant that (a) you own or have the necessary rights and permissions to submit such content, (b) the content does not infringe any third-party intellectual property rights, privacy rights, or applicable law, and (c) the content is accurate and not misleading.

5.2 License Grant to Kataho

By submitting User Content, you grant Addressgraph Nepal Pvt. Ltd. a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable licence to use, host, store, reproduce, modify, adapt, publish, display, and distribute such User Content solely for the purpose of operating, providing, improving, and promoting the Platform and its Services. This licence does not permit us to sell your personal data or use it for targeted advertising.

5.3 Prohibited Content

You must not submit User Content that:

  • Is false, misleading, defamatory, abusive, harassing, threatening, or invasive of another person's privacy
  • Infringes any copyright, trademark, patent, trade secret, or other intellectual property right
  • Contains malware, viruses, or any harmful or disruptive code
  • Violates any applicable law or regulation of Nepal or any other applicable jurisdiction
  • Impersonates any person or entity or misrepresents your affiliation with any person or entity
  • Constitutes unsolicited commercial communications (spam)
  • Triggers false emergency alerts or Community Siren Alerts

6. Data Privacy and Consent

6.1 Privacy Policy

Your use of the Platform is subject to our Privacy Policy, available at kataho.app/privacy_policy, which is incorporated into these Terms by reference. The Privacy Policy describes in detail how we collect, use, store, share, and protect your personal data. By using the Platform, you consent to the data practices described in the Privacy Policy.

6.2 Minimal Data Collection

We collect only data that is strictly necessary for the delivery of our Services:

  • Phone number and email address — required for Account creation and authentication
  • Location data — collected only with your explicit permission, for generating your Digital Address
  • Device information — collected solely for push notifications, session security, and fraud prevention

We do not engage in live location tracking, advertising profiling, or automated decision-making based on personal data.

6.3 Consent-Based Sharing

All data sharing with third parties — including KYC verification with banks or emergency sharing with authorities — occurs only with your explicit, informed, per-instance consent. You may withdraw consent at any time through the App's "Manage My Data" settings or by contacting privacy@kataho.app.

6.4 Anonymised Identifiers

The KID and Kataho Codes used on the Platform are algorithmically generated and anonymised. They do not contain or embed any directly identifiable personal data.

6.5 Data Retention

Personal data is retained only for as long as your Account is active or as required to deliver Services, after which it is securely deleted or you can delete your account permanently.

6.6 Your Privacy Rights

Subject to applicable law, you have the right to access, correct, delete, port, and restrict the processing of your personal data, and to withdraw consent at any time. To exercise your rights, please contact privacy@kataho.app or use the in-app "Manage My Data" feature.

7. Prohibited Activities

In addition to the prohibited content in Section 5.3, you agree not to:

  • Use the Platform for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorised access to any part of the Platform, other users' accounts, or any related system or network
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App or any related software
  • Use automated tools (bots, scrapers, crawlers) to access, extract, or index data from the Platform without our prior written consent
  • Transmit or upload any malware, viruses, Trojan horses, spyware, or any other harmful or disruptive code
  • Circumvent, disable, or otherwise interfere with security-related features of the Platform
  • Use the Platform to collect or harvest personal data of other users without their consent
  • Use the Platform to impersonate another person or entity, or falsely represent your identity or affiliation
  • Use the Platform to transmit unsolicited communications, promotional materials, or spam
  • Engage in any action that imposes an unreasonable or disproportionately large load on the Platform's infrastructure
  • Misuse the Community Siren Alert or Emergency Sharing features by transmitting false or malicious alerts
  • Sell, sublicense, or resell access to the Platform or any data obtained from the Platform without authorisation

8. Intellectual Property Rights

8.1 Ownership

The Platform, including the App, Website, software, source code, proprietary algorithms (including the Kataho Code generation algorithm), databases, designs, content, logos, graphics, and all related technologies and features, is the exclusive property of Addressgraph Nepal Pvt. Ltd. and is protected under applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

The Platform's core innovations, patented technologies, and copyrighted materials have been developed and legally registered by the Innovators and Co-Founders, Ram Prasad Rimal and Laxman Prasad Rimal. All related intellectual property rights remain solely owned and protected by the respective rights holders.

No part of the Platform may be copied, modified, distributed, reverse engineered, or commercially exploited without prior written permission from Addressgraph Nepal Pvt. Ltd.

8.2 Licence to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the App and access the Platform solely for your personal, non-commercial use. This licence does not include the right to: (a) reproduce, modify, distribute, or create derivative works of any part of the Platform; (b) sell, resell, or commercially exploit the Platform or any data obtained from it; or (c) remove, alter, or obscure any proprietary notices on the Platform.

8.3 Trademarks

"Kataho," "Addressgraph Nepal," the Kataho logo, and all related marks, trade names, and product names are trademarks or registered trademarks of Addressgraph Nepal Pvt. Ltd. You must not use these marks without our prior written permission.

8.4 Feedback

If you submit suggestions, ideas, or feedback to us regarding the Platform ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use, incorporate, and commercialise such Feedback without any obligation or compensation to you.

9. Disclaimers and Warranties

9.1 Platform Provided 'As-Is'

The Platform is provided on an "as-is" and "as-available" basis without any representation or warranty of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, Addressgraph Nepal Pvt. Ltd. expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and uninterrupted availability.

9.2 Accuracy of Digital Addresses

While we strive to ensure the accuracy of Digital Addresses and Kataho Codes generated through the Platform, we do not warrant that Digital Addresses will be free from errors, that they will match official government cadastral records, or that third-party navigation and delivery services will accept or recognise them. You are responsible for verifying accuracy before relying on a Digital Address for critical purposes.

9.3 Third-Party Services

The Platform integrates with third-party services including map providers (OpenStreetMap, Galli Maps, Google Maps), cloud infrastructure providers, and notification services. We are not responsible for the availability, accuracy, or practices of such third-party services. Your use of those services is subject to their respective terms and privacy policies.

9.4 Emergency Services

The Emergency Sharing and Community Siren Alert features are supplemental tools designed to assist in emergency situations. They do not replace, and must not be relied upon as a substitute for, official emergency services. We make no warranty that emergency alerts will reach recipients in time or that government authorities will respond based on Platform alerts.

10. Limitation of Liability

10.1 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, Addressgraph Nepal Pvt. Ltd., its directors, officers, employees, affiliates, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, loss of goodwill, or service interruption.

10.2 Cap on Liability

In no event shall our total aggregate liability to you for any and all claims arising out of or related to these Terms or your use of the Platform exceed the greater of (a) the amount, if any, paid by you to us in the twelve (12) months preceding the claim, or (b) Nepalese Rupees Five Thousand (NPR 5,000).

10.3 Third-Party Data Use

Notwithstanding Section 6.3, the Company shall not be responsible for any unauthorised or improper use of your data by third-party institutions (such as banks, telecom companies, or cooperatives) after such data has been shared with your consent. You are encouraged to review the data handling policies of any institution with which you authorise data sharing.

10.4 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, power failures, government actions, civil unrest, pandemics, cyberattacks, or Internet disruptions.

11. Indemnification

You agree to defend, indemnify, and hold harmless Addressgraph Nepal Pvt. Ltd. and its directors, officers, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your use or misuse of the Platform; (c) User Content you submit; (d) your violation of any applicable law or regulation; or (e) your infringement of any intellectual property or other rights of any person or entity.

12. Platform Conduct and Fair Use

12.1 Respectful Use

You agree to use the Platform in a manner that is respectful of other users, the community, and public institutions. You must not use the Platform in any way that is harmful, offensive, or disruptive to others.

12.2 Commercial Use

Use of the Platform for commercial purposes — including but not limited to data harvesting, reselling Digital Address data, or offering competing services using Kataho infrastructure — requires a separate written agreement with Addressgraph Nepal Pvt. Ltd. Please contact info@kataho.app for commercial enquiries.

12.3 False Emergencies

Misuse of the Community Siren Alert or Emergency Sharing features to transmit false, malicious, or prank emergency alerts is a serious violation of these Terms and may constitute a criminal offence under applicable Nepali law. We reserve the right to immediately terminate your Account and report such misuse to relevant authorities.

13. Service Availability and Modifications

13.1 Availability

We endeavour to maintain the availability of the Platform at all times; however, we do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to scheduled maintenance, technical issues, upgrades, or circumstances beyond our control. We will endeavour to provide advance notice of scheduled downtime where possible.

13.2 Modifications to Services

We reserve the right to modify, suspend, or discontinue any feature, functionality, or the Platform as a whole at any time and for any reason, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

14. Modifications to These Terms

We reserve the right to amend or replace these Terms at any time at our sole discretion. We will notify you of material changes by posting a notice within the App, updating the Effective Date at the top of this document, and (where reasonably practicable) sending a notification to your registered email address. What constitutes a "material change" will be determined at our sole discretion. Your continued access to or use of the Platform after the revised Terms have been posted shall constitute your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform and may delete your Account.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and Conditions and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Nepal, including but not limited to the Individual Privacy Act 2018 and the Electronic Transactions Act 2063 (2006), without regard to conflict of law principles.

15.2 Amicable Resolution

In the event of a dispute, both parties agree to first attempt to resolve it amicably by contacting us at info@kataho.app. We will endeavour to respond to dispute notifications within three (3) working days.

15.3 Jurisdiction

If amicable resolution is not achieved within thirty (30) days of written notice of a dispute, any and all disputes, controversies, or claims arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts of Kathmandu, Nepal.

15.4 International Users

If you are accessing the Platform from outside Nepal, you do so on your own initiative and are responsible for compliance with your local laws. Nothing in these Terms limits our right to comply with applicable international data protection obligations (including GDPR, CCPA, LGPD, and PIPEDA), as further detailed in our Privacy Policy.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features or services, constitute the entire agreement between you and Addressgraph Nepal Pvt. Ltd. with respect to the Platform and supersede all prior agreements, representations, and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Addressgraph Nepal Pvt. Ltd. to be effective.

16.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, or sale of all or substantially all of our assets.

16.5 Language

These Terms are drafted in English. In the event of any inconsistency between the English version and any translated version, the English version shall prevail.

16.6 No Partnership

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between you and Addressgraph Nepal Pvt. Ltd.
